1. Acceptance of Terms

By accessing or using FieldFinity (the “Service”), operated by FieldFinity LLC (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

FieldFinity is a cloud-based field service management platform that provides tools for scheduling, dispatching, customer management, estimating, invoicing, route optimization, email communications, Google Calendar integration, and other business operations for field service companies. The Service is provided on a subscription basis as described on our website.

3. Account Registration

To use the Service, you must create an account. You may register using an email address and password or through a third-party authentication provider such as Google Sign-In. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Subscription and Payment

4.1 Plans and Pricing

The Service is offered under various subscription plans as described on our website. Pricing is subject to change with 30 days advance notice. Changes to pricing will not affect your current billing period.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis depending on your selected plan. All fees are non-refundable except as expressly stated in these Terms or as required by applicable law.

4.3 Free Trials

We may offer free trial periods at our discretion. At the end of a free trial, your account will be converted to a paid subscription unless you cancel before the trial period ends. We will notify you before your trial expires.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable federal, state, local, or international law or regulation.
• Use the Service to transmit any material that is harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to send unsolicited communications (spam).
• Reverse engineer, decompile, or disassemble any aspect of the Service.
• Use automated scripts or bots to access the Service without our prior written consent.
• Resell, sublicense, or redistribute the Service without our prior written consent.

6. Your Data

6.1 Ownership

You retain all ownership rights to the data you input into the Service (“Your Data”). We do not claim ownership of Your Data. You grant us a limited license to use, process, and store Your Data solely to provide and improve the Service.

6.2 Data Portability

You may export Your Data at any time through the features provided in the Service. Upon termination of your account, we will make Your Data available for export for a period of 30 days, after which it may be permanently deleted.

6.3 Data Security

We implement commercially reasonable security measures to protect Your Data. However, no system is completely secure, and we cannot guarantee the absolute security of Your Data. You are responsible for maintaining your own backups of critical business data.

6.4 Multi-Tenant Environment

FieldFinity operates in a multi-tenant environment where multiple organizations share the same infrastructure. We maintain strict logical separation of data between tenants. Your Data is never accessible to other tenants of the Service.

7. Intellectual Property

The Service, including its original content, features, functionality, design, and underlying technology, is and remains the exclusive property of FieldFinity LLC and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

These Terms do not grant you any right, title, or interest in the Service, except for the limited right to use the Service in accordance with these Terms.

8. Third-Party Integrations

The Service may integrate with third-party services, including Google (for authentication and calendar synchronization), email delivery services (for transactional notifications), payment processors, and communication platforms. Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services, and we do not endorse any third-party services.

When you connect your Google Calendar to the Service, you authorize FieldFinity to create, read, update, and delete calendar events related to your jobs, appointments, and crew assignments. You may revoke this access at any time through your account settings or through your Google Account permissions.

When you connect a business email account to the Service, you authorize FieldFinity to access that mailbox to retrieve and send business communications on your behalf. You are responsible for ensuring you have the authority to connect any shared or organizational email accounts. You may disconnect your email integration at any time through your account settings.

9. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with advance notice when possible. We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice before making material changes that significantly reduce the functionality of features you are actively using.

10. Limitation of Liability

To the maximum extent permitted by applicable law, FieldFinity LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free.

12. Indemnification

You agree to indemnify, defend, and hold harmless FieldFinity LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any rights of a third party, or Your Data.

13. Termination

You may cancel your subscription and terminate your account at any time through your account settings or by contacting us. We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms or engage in conduct that we determine, in our sole discretion, is harmful to other users, us, or third parties.

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of New Mexico. Each party shall bear its own costs of arbitration.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict of law provisions.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the “Last Updated” date. For significant changes, we may also notify you by email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

17. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
• Notices: All notices to us should be sent to admin@fieldfinity.com. We may send notices to you via the email address associated with your account.
